Terms of Service

These Terms of Service ("Terms") govern access to and use of the Janus Payroll platform (the "Service"), operated by Janus Payroll Technologies Ltd ("Janus Payroll Technologies", "we", "us") (RC 9453370, TIN 2623730825640) of 1349 Ahmadu Bello Way, Garki, PO Box 6637, Wuse, Abuja, Nigeria. By creating an account or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the company you represent (the "Customer").

The Service

Janus provides payroll processing, statutory-deduction computation, filing preparation, salary disbursement, payslip generation, and related record-keeping tools for companies operating in Nigeria. Feature availability may evolve over time.

Accounts and access

The Customer is responsible for the accuracy of the information entered into the Service, for managing its users and their roles, and for keeping credentials confidential. Actions taken under an authenticated account are attributed to that account in the audit record.

Customer responsibilities

  • Providing accurate employee, compensation, and statutory data, and keeping it current.
  • Reviewing and approving payroll runs before disbursement. Approvals recorded in the Service are binding instructions to execute payment.
  • Submitting statutory filings to the relevant authorities. Janus prepares filing-ready exports and records confirmations; the Customer remains the filer of record.
  • Funding disbursements and maintaining its relationship with its banks and payment providers.
  • Complying with employment, tax, and data-protection laws applicable to it as an employer.

Payments and third-party providers

Salary disbursement is executed through third-party payment providers. Transfers are subject to the providers' and receiving banks' processing; Janus reports per-transfer status as confirmed by the provider and provides reconciliation tools for failed or delayed transfers.

Fees

Fees for the Service are as agreed in the applicable order, plan, or written agreement between the Customer and Janus Payroll Technologies.

Data

The Customer retains all rights to its data. Janus Payroll Technologies processes personal data as described in the Privacy Policy and uses Customer data only to provide and secure the Service and to meet legal obligations.

Acceptable use

The Customer must not misuse the Service, including attempting to breach its security, using it to process payments unrelated to legitimate payroll obligations, or infringing the rights of others.

Availability and changes

We aim to keep the Service available and reliable, but do not guarantee uninterrupted availability. We may update the Service, and will not materially reduce its core functionality during a paid term without notice.

Disclaimers

The Service supports the Customer's payroll and compliance operations but does not constitute legal, tax, or accounting advice. Statutory rates, thresholds, and deadlines reflected in the Service are maintained with care, but the Customer is responsible for verifying its own obligations.

Liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential losses, and Janus Payroll Technologies' aggregate liability arising out of the Service is limited to the fees paid by the Customer for the Service in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

Termination

Either party may terminate as set out in the applicable agreement. On termination, the Customer may export its records; data is thereafter retained or deleted in line with the Privacy Policy and statutory retention requirements.

Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over disputes arising from them.
